Responsibilities

The Commercial Counsel is responsible for advising the organization on a broad range of commercial matters including drafting and negotiating commercial transactions in compliance with applicable laws, policies and risk tolerance. The Commercial Counsel will advise business partners on commercial matters, resolve issues that arise in commercial relationships, and handle pre-litigation commercial disputes. This position will primarily be responsible for drafting, negotiating, and managing the life-cycle of commercial contracts but may be assigned other legal matters as needed to support operations.

  1. Drafts, reviews, negotiates, and manages a wide variety of commercial agreements across all business functions, including SaaS agreements, data sharing agreements, license agreements, service agreements, purchase agreements, leases, and NDAs.
  2. Works collaboratively with internal business partners across the organization to understand and achieve business objectives.
  3. Communicates legal issues clearly and succinctly to business partners and provides practical, solutions-oriented advice that appropriately balances legal risks with business needs.
  4. Assists in the ongoing development of contract templates, playbooks, and training materials.
  5. Supervises and directs outside counsel, paralegals and other contract management personnel.
  6. Oversees management and organization of contract management software including contract libraries and requisition systems.
  7. Leads projects to improve the efficiency of the contract negotiation and management process including implementing software platform updates/changes, workflow optimization, and other initiatives to drive improvements.
  8. Remains up-to-date on relevant industry trends, laws, and regulations as necessary to provide sound legal advice to business partners.

Qualifications

  1. Undergraduate degree from an accredited four-year university.
  2. Juris Doctor degree from an accredited and highly respected law school with excellent academic credentials.
  3. A member in good standing of the State Bar of Georgia. 
  4. 5 + years of relevant commercial law experience including drafting and negotiating a wide range of commercial agreements.
  5. Experience and comfort independently negotiating contracts with vendors.
  6. Strong business acumen including the ability to think like a businessperson and integrate legal and business issues, so as to partner effectively with business leaders.
  7. A high degree of self-sufficiency, independent judgment, and a business appreciation all with a view to managing risk in the most cost-effective manner.
  8. Ability to communicate complex legal issues clearly and concisely to internal business partners.
  9. Ability to work under pressure and prioritize and manage workload, manage simultaneous tasks, and meet deadlines with a changing fast-paced environment.
  10. A collegial and service-oriented attitude toward providing advice to internal and external stakeholders.
  11. Willingness to work on-site.

PREFERRED: 

  1. Commercial law experience representing healthcare systems or healthcare vendors.
  2. Prior in-house experience at a healthcare system or healthcare vendor.
  3. Familiarity with laws and regulations applicable to health care organizations.
